Overview

SEC Memorandum Circular No. 3, Series of 2006, sets requirements concerning the specific principal office address and residential addresses that corporations and partnerships must provide when applying for registration with the Securities and Exchange Commission.
The Circular requires corporations and partnerships applying for registration to state the specific address of their principal office in their Articles of Incorporation or Articles of Partnership. The address should include, if feasible, the street number, street name, barangay, and city or municipality.
The Circular also requires the specific residence address of each incorporator, stockholder, director, trustee, or partner to be stated in the appropriate registration documents.
“Metro Manila” is no longer allowed to be used alone as the principal office address.
In addition, corporations are required to state in their General Information Sheet the specific residence address of each stockholder, officer, director, or trustee.
The SEC later identified MC No. 3, Series of 2006 as a repealed memorandum circular because its provisions were consolidated into SEC Memorandum Circular No. 6, Series of 2016, the Omnibus Guidelines on Principal Office Address and the Address of Each Incorporator, Director, Trustee, or Partner.
